<p>Essentially, Liquidnet facilitates large equity trades for institutional investors - which are anonymous.  In fact, the platform allows access to about 7.5 billion shares per day of liquidity. </p>
<p>No doubt, the company is putting pressure on the traditional exchanges and yes, is growing at a rapid clip. From 2005 to 2007, revenues spiked from $161.8 million to $346.5 million. Net income was a juicy $191.2 million last year. To keep up the growth, Liquidnet wants to expand aggressively into foreign markets, where things are still in the early stages.</p>

June's stock market was the worst since 1930. So are stocks now a screaming buy or are they poised to plunge further? Nobody knows. But my guess is that stocks will move based on how well they perform compared with expectations. And the risk of negative surprises in most industries exceeds the chance of positive ones. So stocks will probably keep falling.</p>
<p>Here's a quick review of six negatives:</p>

    <li>
    <div><strong>Oil prices.</strong> With oil at $142, up 492% since January 2001, consumers are paying about $4.10 a gallon for gas and companies that use oil are getting squeezed while trying to raise prices. An attack on Iran, a big oil supplier, looms on the horizon. This and other geopolitical uncertainties could put further pressure on oil.</div>
    </li>
    <li>
    <div><strong>Housing.</strong> Three million people are expected to face foreclosure on their homes. And prices have dropped <a href="http://nahnopenotquite.wordpress.com/2008/06/24/home-prices-down-15-percent/">15%</a>. Since people were using home equity to finance their purchasing, their negative equity is sucking the wind out of the economy.</div>
    </li>

    <li>
    <div><strong>Tight credit.</strong> Banks are facing huge write-offs thanks to their <a href="http://www.bloggingstocks.com/2008/04/20/bank-capital-to-shrink-due-to-write-downs-of-500-billion-in-lev/">$500 billion</a> in Level 3 assets -- those that have no active market. And they are struggling to raise capital at a time when they are in particularly deep trouble. In light of that, banks are freezing consumers' home equity lines of credit and otherwise making it difficult for them to get access to debt. </div>
    </li>
    <li>
    <div><strong>Unemployment.</strong> The <em><a href="http://www.nytimes.com/2008/07/02/business/02jobs.html?adxnnl=1&amp;ref=business&amp;adxnnlx=1214991749-VL9MZRei6BNEFxRYUEI0mg&amp;pagewanted=print">New York Times</a></em> reports that <strong><a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">Goldman Sachs</a></strong> (NYSE: <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">GS</a>) expects the unemployment rate to hit 6.4% in late 2009, up from the current 5.5%. Workers who aren't working tend to cut back on spending and they can't easily get access to credit.</div>
    </li>
    <li>
    <div><strong>Stagnant incomes.</strong> The median income has fallen from $61,000 in 2000 to $60,500 in 2007. With flat incomes, consumers can't make up for higher prices by borrowing so they are cutting back on everything that does not involve paying for gasoline, feeding their family, and heating or cooling their homes.</div>
    </li>
    <li>
    <div><strong>Corporate earnings down.</strong> As I <a href="http://www.bloggingstocks.com/2008/07/01/how-much-longer-will-the-bear-market-growl/">posted</a>, earnings at S&amp;P 500 companies are expected to be down 11% for the second period, led by a 60% plunge in financial-sector earnings. Those estimates fell during the quarter. On April 1, analysts expected a 2% drop in S&amp;P earnings and a 31% decline in the financial sector.</div>
    </li>

Stability that was once found in household names that were industry giants is gone, and they have now been brought to their knees. </p>
<p>Many of them were the stocks we might have looked to in the past for stability, so you can be sure I put forward my five candidates with a little trepidation, but forward I go anyway. First a little review is in order. </p>
<p><a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">Citigroup Inc.</a> (NYSE: <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">C</a>) dropped from around $53 per share last year to around $30 in January and we can buy it today for around $17. Even at that price <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">Goldman Sachs</a> (NYSE: <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">GS</a>) has downgraded it to a sell and thinks there is more bad news to come. Citigroup was the largest bank in the world. Not any more. </p>
<p><a href="http://finance.aol.com/quotes/general-motors-corporation/gm/nys">General Motors</a> (NYSE: <a href="http://finance.aol.com/quotes/general-motors-corporation/gm/nys">GM</a>) was the largest car maker in the world. That was before the stock tumbled from $43 to its current $11 range. A crushing blow to long time investors hoping that someone in the company could stop the ship from sinking.</p><p><a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">Goldman Sachs</a> (NYSE: <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">GS</a>) itself is down from $250 to a very soft $177 (it's traded as low as $161.21 today) and does not appear to be at risk as much as some of its competitors, companies that do not look as competitive any more. Bear Stearns is gone, <a href="http://finance.aol.com/quotes/lehman-brothers-holdings-inc/leh/nys">Lehman Brothers Holdings</a> (NYSE: <a href="http://finance.aol.com/quotes/lehman-brothers-holdings-inc/leh/nys">LEH</a>) is on the ropes and <a href="http://finance.aol.com/quotes/merrill-lynch-and-co-inc/mer/nys">Merrill Lynch</a> (NYSE: <a href="http://finance.aol.com/quotes/merrill-lynch-and-co-inc/mer/nys">MER</a>) and <a href="http://finance.aol.com/quotes/huaneng-power-international-inc/hnp/nys?from=view_symbol">Morgan Stanley</a> (NYSE: <a href="http://finance.aol.com/quotes/huaneng-power-international-inc/hnp/nys?from=view_symbol">MS</a>) are teetering.<br /><br />Reliable software giant <a href="http://finance.aol.com/quotes/microsoft-corporation/msft/nas">Microsoft Inc.</a> (NASDAQ: <a href="http://finance.aol.com/quotes/microsoft-corporation/msft/nas">MSFT</a>) is down from $37.50 to $27 and is so desperate for some traction that it is wasting its time with something called the Zune and made an unsuccessful offer to acquire <a href="http://finance.aol.com/quotes/yahoo-inc/yhoo/nas">Yahoo!</a> (NASDAQ: <a href="http://finance.aol.com/quotes/yahoo-inc/yhoo/nas">YHOO</a>), which is also down on its luck; 50% down since it rejected the offer.<br /><br />I do not own any of these stocks, and I could list a thousand stocks to keep them company. Some that I do own as "core holdings" that are down include <a href="http://finance.aol.com/quotes/huaneng-power-international-inc/hnp/nys?from=view_symbol">Huaneng Power Intl ADS</a> (NYSE: <a href="http://finance.aol.com/quotes/huaneng-power-international-inc/hnp/nys?from=view_symbol">HNP</a>) that was trading as high as $57 and is now a more affordable $27 per share. Another one of my favorites, <a href="http://finance.aol.com/quotes/intuitive-surgical-inc/isrg/nas">Intuitive Surgical Inc</a> (NASDAQ: <a href="http://finance.aol.com/quotes/intuitive-surgical-inc/isrg/nas">ISRG</a>), is down from $360 to $260 and may drop further as hospitals look to conserve capital the rest of the year and into the uncertainty of a new presidential administration and economy. Even that old standby for tough times <a href="http://finance.aol.com/quotes/berkshire-hathaway-inc-cl-b/brk.b/nys">Berkshire Hathaway</a> (NYSE: <a href="http://finance.aol.com/quotes/berkshire-hathaway-inc-cl-b/brk.b/nys">BRK.B</a>) has shown weakness dropping 20% from around $5,000 to $4,000 a share.<br /><br />I could point to some energy and food stocks that have done well this year but those could lose their footing as well if oil prices do not hold up. There are those that think we are in a short term speculative bubble and they could give back some of the this year's gains.<br /><br />So where to hide? What if anything has been stable? The following five companies made the grade.<br /><br />1) <a href="http://finance.aol.com/quotes/johnson-and-johnson/jnj/nys">Johnson and Johnson</a> (NYSE: <a href="http://finance.aol.com/quotes/johnson-and-johnson/jnj/nys">JNJ</a>): This one is probably not any surprise. There was no money to be made here but you would not have lost any either. Year to date it has traded between $68 and $64 and that is about where it has been for quite some time. It does pay almost a 3% dividend yield and that's mighty fine these days.<br /><br />2) <a href="http://finance.aol.com/quotes/teva-pharmaceutical-industries-limited-american-depositary-shares/teva/nas">Teva Pharmaceuticals</a> ADR (NASDAQ<a href="http://finance.aol.com/quotes/teva-pharmaceutical-industries-limited-american-depositary-shares/teva/nas">: TEVA</a>): Pharmaceuticals have long been a safe haven in troubled times and the world's largest maker of generic drugs is sitting pretty these days with expanding markets everywhere it looks. This Israeli company has traded roughly between $43 and $47 for quite some time, pays a 1% yield and looks to have plenty of upside going forward.<br /><br />3)<a href="http://finance.aol.com/quotes/the-chubb-corporation/cb/nys" onclick="addCat(this);" id="5660"> Chubb Corp (</a>NYSE:<a href="http://finance.aol.com/quotes/the-chubb-corporation/cb/nys" onclick="addCat(this);" id="5660"> CB) </a>the conservative insurance company has held up better than most of its peers. Over the past six months and going back two years it has hovered between $49 and $54, all the time paying about a 2.6% yield.<br /><br />4) <a href="http://finance.aol.com/quotes/xcel-energy-inc/xel/nys">Xcel Energy</a> (NYSE: <a href="http://finance.aol.com/quotes/xcel-energy-inc/xel/nys">XEL</a>) is a holding company for numerous utilities. Over the course of the past twelve volatile months it has been trading in a 10% range between $20 and $22 while paying a huge yield, which today stands at 4.8%.<br /><br />5) <a href="http://finance.aol.com/quotes/the-walt-disney-company/dis/nys">Walt Disney</a> (NYSE: <a href="http://finance.aol.com/quotes/the-walt-disney-company/dis/nys">DIS</a>) may be a great place to hide if you want to forget your troubles, whether you chose the new Pixar hit movie "WALL-E" or Disneyland, or a trip down memory lane renting or downloading any one of its countless hits from its film library. The stock is currently trading in the neighborhood of $30.62, mid-point in its 52 week range. Over the past six months it has spent most of the time drifting between $30 and $33 per share with a few drops and pops here and there. The 1.1% yield is not as generous as the others but it I would be happy to take it.<br /><br />What do they have in common? They are <em>diversified </em>among their industries, have growth horizons, and of course they all pay dividends. But the standout at this juncture seems to be that they all have shrewd <em>conservative</em> management teams -- and they have been in the right place, at the right time, and prepared.<br /></p>

Of course, the stock price has plunged - and there are many rumors swirling. </p>
<p>But today, there was some good news. That is, CIT has <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aSjGCrcdvq2o&amp;refer=home">struck</a> $1.8 billion in deals to unload its manufactured housing/home loan units. The stock is up 16% to $7.93.</p>
<p>There were actually two buyers. First, private equity firm Lone Star Funds agreed to a $1.5 billion transaction for the home lending division. Next, Vanderbilt Mortgage and Finance will spend $300 million for the manufactured home segment.</p>
<p>These deals are certainly a big relief. Basically, CIT can now focus on its core business - and not deal with the headaches of the consumer area.</p>
<p>Actually, CIT has some big-time backing. For example, <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">Goldman Sachs</a> (NYSE: <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">GS</a>) recently made a $3 billion infusion.</p>
<p>Yet, there are still many challenges. After all, CIT has had difficulties generating profits and the credit crunch isn't going away.</p>

They have been rather negative on everything lately and I do not think the (stock) world is coming to an end.<br /><br />The Bloomberg article notes that while some programs will be cut others will be added. It is all a guessing game as either presidential candidate will want to review the entirety of defense expenditures in a new administration.<br /><br />

Still, with oil prices reaching another record in Asia, it's questionable whether stocks could indeed stage a recovery.<br /><br />On Thursday, U.S. stocks sank to lows not seen in nearly two years after <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">Goldman Sachs</a> (NYSE: <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">GS</a>) downgraded investment banks including <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">Citigroup</a> (NYSE: <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">C</a>) and <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aWCcSqUHXAKU&amp;refer=home">General Motors Corp.</a> (NYSE: <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aWCcSqUHXAKU&amp;refer=home">GM</a>) to Sell and as Wall Street was also worried about the outlook for tech stocks as both <a href="http://finance.aol.com/quotes/research-in-motion-limited/rimm/nas">RIM</a> (NASDAQ: <a href="http://finance.aol.com/quotes/research-in-motion-limited/rimm/nas">RIMM</a>) and <a href="http://finance.aol.com/quotes/oracle-corporation/orcl/nas">Oracle</a> (NASDAQ: <a href="http://finance.aol.com/quotes/oracle-corporation/orcl/nas">ORCL</a>) reported quarterly results Wednesday, giving a tepid outlook. Topping it all were oil prices reaching $140 a barrel. The Dow Jones Industrial Average fell 358 points, or 3.03%, the S&amp;P 500 lost 38 points, or 2.94%, and the Nasdaq Composite dropped 79 points, or 3.33%.<br /><br />Usually, a day after such a selloff, buyers tend to come in, this morning we also woke up to news that oil prices climbed to a <a href="http://money.aol.com/news/articles/_a/oil-climbs-to-record-above-141-in-asia/n20080627042709990001">record above $141 a barrel</a> in Asian trading, which may dampen the mood on Wall Street again. Light, sweet crude for August delivery rose as high as $141.71 a barrel before pulling back to $141.10. The previous trading record for a front-month contract was $139.89, set on June 16.<br /><br />Economic releases today include May personal income and spending at 8:30 a.m. EDT. With it, the core PCE inflation indicator, the Federal Reserve's preferred inflation gauge is also due out.<br /><br />In corporate news, the board of <a href="http://finance.aol.com/quotes/anheuser-busch-companies-inc/bud/nys">Anheuser-Busch Cos.</a> (NYSE: <a href="http://finance.aol.com/quotes/anheuser-busch-companies-inc/bud/nys">BUD</a>) has <a href="http://www.bloggingstocks.com/2008/06/26/anheuser-busch-vs-inbev-ready-for-a-bar-brawl/">unanimously rejected</a> InBev NV's $46.35 billion takeover bid, calling it "financially inadequate."<br /><br />In financials, American International Group Inc. (NYSE: AIG) plans to absorb <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aYC_AwNdzAVY&amp;refer=home">as much as $5 billion</a> of any losses on sales of the investments, up from a previous commitment of $500 million. Meanwhile, Bank of America (NYSE: BAC) said Thursday it will <a href="http://money.aol.com/news/articles/_a/bofa-to-cut-7500-jobs-after-countrywide/n20080626164209990052">cut about 7,500 jobs</a> after it closes its acquisition of Countrywide Financial Corp. <p><a href="http://www.suntimes.com/business/1026300,gmshares062608.article">GM is trading at a 30 year low.</a> "Today's drop came after a Goldman Sachs analyst cut his rating for GM to "Sell" from "Neutral" and his price target to $11 from $16, saying things could still get worse for the North American automotive industry as a whole."<br /><br />I wonder if he read my post yesterday . . . <em>probably not</em>. I am not a big fan of analysts as a group but this did not take a crystal ball.<em> Barron's</em> should do a follow-up story explaining how their crystal ball got so fogged up.</p><p>Not to pick on GM, <em>Barron's</em> or analysts, but this happens to all investors and prognosticators. My real concern about the articles I read is that everyone has way too many ifs, ands or buts in their analyses to draw definite conclusions. This is a recurring theme in my rants as I try to get folks to realize that it is very hard to determine the answer to an equation when there are a few known elements and a multitude of variables.<br /><br />I think someone less long winded than I simply said, "yeah, when elephants can fly!"</p>

"Over?" it laughed, "you wish!" It then proceeded to downgrade investment banks from Attractive to Neutral. Specifically, it downgraded <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">Citigroup</a> (NYSE: <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">C</a>) to Sell, <a href="http://today.reuters.com/news/articlehybrid.aspx?type=comktNews&amp;rpc=33&amp;storyid=2008-06-26T145305Z_01_WNA7307_RTRIDST_0_BUSINESS-CITIGROUP-RESEARCH-GOLDMAN-DC.XML">urging investors to short sell it</a>!<br /><br />Citigroup will have another $8.9 billion in writedowns, William Tanona, the Goldman analyst said, and added Citigroup to Goldman's "Americas conviction sell" list, cutting his price target on the stock to $16 from $20. Citi shares are down 5.5%.<br /><br /><a href="http://finance.aol.com/quotes/merrill-lynch-and-co-inc/mer/nys">Merrill Lynch</a> (NYSE: <a href="http://finance.aol.com/quotes/merrill-lynch-and-co-inc/mer/nys">MER</a>) has already been <a href="http://www.bloggingstocks.com/2008/06/20/merrill-lynch-mer-shares-sink-5-on-profit-warning-rumors/">subject to rumors</a> last week it would have to write down more assets. Today, the same Goldman analyst said it will likely incur $4.2 billion of write-downs in the second quarter. MER stock is down 4.5%.<br /><br />At least Goldman shares have not been immune and are declining nearly 2.7% along with the rest of the investment banks and the market.<br /><br />But that was not all, Goldman Sachs also downgraded autos and specifically it <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aWCcSqUHXAKU&amp;refer=home">downgraded</a> <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aWCcSqUHXAKU&amp;refer=home">General Motors Corp.</a> (NYSE: <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aWCcSqUHXAKU&amp;refer=home">GM</a>) to Sell, alarming investors by saying GM may need to raise money and cut its dividend as its cash flow deteriorates. Well, liquidity concerns are never a good thing. GM stock is down over 9.5%.<br /><br />And if you think the Dow is alone, the Nasdaq's got its problems with RIM and Oracle dragging it down 2.4%. <br /><br /><a href="http://finance.aol.com/quotes/oracle-corporation/orcl/nas">Oracle</a> (NASDAQ: <a href="http://finance.aol.com/quotes/oracle-corporation/orcl/nas">ORCL</a>) and <a href="http://finance.aol.com/quotes/research-in-motion-limited/rimm/nas">Research in Motion</a> (NASDAQ: <a href="http://finance.aol.com/quotes/research-in-motion-limited/rimm/nas">RIMM</a>) reported results Wednesday after the close. <a href="http://money.aol.com/news/articles/_a/rim-profit-doubles-but-shares-plunge/20080625162209990002">RIM's profit doubled</a> during the quarter, but the results and guidance fell short of analysts' expectations. Oracle, on the other hand, posted <a href="http://www.bloggingstocks.com/2008/06/25/oracle-orcl-s-results-plain-strong/">very strong results</a>, beating estimates. After investors cheered, pushing the stock price higher in after-hours trading, Oracle dampened investor sentiment later as it said the <a href="http://money.aol.com/news/articles/_a/oracle-throws-wet-blanket-on-strong-4q/n20080626001009990004">slowdown will increase</a> in the traditionally sluggish summer months. ORCL shares are down 3% and RIMM shares down 12%.<br /><br />So downgrades, profit outlook concerns and <a href="http://www.bloggingstocks.com/2008/06/26/gdp-posts-gains-jobless-claims-hits-high-housing-sales-rise/">the economy</a>. That's what I keep thinking as I watch the sickening slide in <a href="http://finance.aol.com/quotes/motorola-inc/mot/nys">Motorola</a>'s (NYSE: <a href="http://finance.aol.com/quotes/motorola-inc/mot/nys">MOT</a>) (<a target="blank" href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=MOT">Cramer's Take</a>) stock. How can Motorola go down so much? This is a company with a lot of money and some businesses that are doing excellently. It has great existing contracts with telcos.  <br /><br />  But someone sells it and sells it hard every day. It almost feels that Carl Icahn has a margin call, post-<a href="http://finance.aol.com/quotes/yahoo-inc/yhoo/nas">Yahoo!</a> (NASDAQ: <a href="http://finance.aol.com/quotes/yahoo-inc/yhoo/nas">YHOO</a>) (<a target="blank" href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=YHOO">Cramer's Take</a>), or he has to sell MOT to fund Yahoo!, and that doesn't seem right.  <br /><br />  Otherwise, how can we explain the endless selling? Sure, as Piper said yesterday, they are losing share in America, but does anyone think this company is going away? Does anyone think this company is some sort of regional bank with its destiny completely out of its hands, that reliance on housing coming back will determine its viability? This is only a $16 billion company now with sales that are almost twice that? <br /><br />  At some price this one is going to get a takeover bid. It has fundamental worth.  <br /><br />  To sell it down here makes no sense at all if you ask me.   <br /><br /> But then again, I thought at $8 or $9 there was worth. I just don't believe this company is going away.  <br /><br /> It is entirely possible that what might be going on here is the desire to show that you own none of the worst cell phone handset maker. It may also be a sign that the value people are at last running out of money. They did not appear to be directly related, but they do say that employment on Wall Street could drop much further this year. </p>
<p><a href="http://online.wsj.com/article/SB121416925522495095.html?mod=hps_us_whats_news">According to</a> <em>The Wall Street Journal</em>, <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">Citigroup's</a> (NYSE: <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">C</a>) "will dismiss thousands of investment-banking employees world-wide as part of a plan to cut the roughly 65,000-employee group by 10%." The <em>FT</em> <a href="http://www.ft.com/cms/s/0/4b0e96b2-4093-11dd-bd48-0000779fd2ac.html">reports</a>, <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">Goldman Sachs</a> (NYSE: <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">GS</a>) "is now expected to cut up to 10 per cent of staff in the division that handles mergers and acquisition advice and corporate fundraisings."</p>
<p>Because Goldman is perceived as doing relative well in a tough financial environment, the news is particularly bad.</p>
<p>The information is another sign that the world of Wall Street is not turning around. If these companies saw a second half recovery, they might be less likely to cut so deeply.</p>
<p>But, it is part of a trend. After bottoming in March, U.S. financial stocks started to move back up at the end of Spring. There was talk that the credit crisis had seen its peak. </p>
<p>With new write-offs and thousand of people in the industry about to be out of work, it looks like the April rally was for suckers.</p>

Oil, which will continue to be in focus alleviated some pressure as it came off highs, and several deals also gave boost to stocks. The Federal Reserve is due to have a two-day policy meeting starting Tuesday. Most investors expect the Fed to keep its key federal funds rate unchanged but change the focus, or give more weight to inflation.<br /><br />U.S. stocks fell sharply Friday as oil prices climbed once again and financials continued to be in the headlines. The Dow industrials tumbled 220 points, or 1.83%, for a weekly loss of 3.7%. The Dow closed below 12,000 at 11,482.69, a three-moth low. The S&amp;P 500 dropped nearly 25 points, or 1.85%, Friday and 3.1% last week. The Nasdaq Composite, with the same weekly decline, fell nearly 56 points, or 2.27%, Friday.<br /><br />Without any economic readings out today, the market will undoubtedly focus on oil. Despite <a href="http://money.aol.com/news/articles/_a/oil-minister-saudi-willing-to-increase/n20080622185609990002">Saudi Arabia saying Sunday it will produce more crude</a> this year if the market needs it, oil prices rose overnight as the promise was kept vague enough for any concrete relief.<br /><br />In corporate news, two major deals have captured Wall Street's attention. Bunge Ltd. (NYSE: <a href="http://finance.aol.com/quotes/bunge-limited/bg/nys">BG</a>) will buy Corn Products International Inc. (NYSE: <a href="http://finance.aol.com/quotes/corn-products-international-inc/cpo/nys">CPO</a>) in a stock <a href="http://money.aol.com/news/articles/_a/bunge-buys-corn-products-in-44-billion/20080623070009990001">deal worth about $4.4 billion</a>, the company said Monday. The deal puts a 31% premium over Corn Products' closing share price of $42.90 on Friday. <br /><br />And Republic Services Inc. (NYSE: <a href="http://finance.aol.com/quotes/republic-services-inc-cl-a/rsg/nys">RSG</a>) on Monday <a href="http://money.aol.com/news/articles/_a/republic-services-to-buy-allied-waste/n20080623065709990016">agreed to pay $6.07 billion</a> in stock for Allied Waste Industries Inc. (NYSE: <a href="http://finance.aol.com/quotes/allied-waste-industries-inc/aw/nys">AW</a>), combining the second- and third-largest players in the waste and environmental services industry. The deal puts nearly a 4% premium to Allied's closing stock price Friday. <br /><br />The trouble with financials and the job cuts continue. Citigroup Inc. (NYSE: <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">C</a>) is <a href="http://money.aol.com/news/articles/_a/citi-to-slash-investment-banking-jobs/20080623063809990001">preparing to cut thousands</a> -- 10% of its 65,000 investment-banking workforce to be precise, according to <em>The Wall Street Journal</em>. I am beginning to believe that <a href="http://finance.aol.com/quotes/jp-morgan-chase-and-co/jpm/nys">JPMorgan</a>'s (NYSE: <a href="http://finance.aol.com/quotes/jp-morgan-chase-and-co/jpm/nys">JPM</a>) (<a target="blank" href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=JPM">Cramer's Take</a>) buy of Bear is looking like a big mistake. It can only be justified by what might have been an even bigger problem for JPM -- the collapse of the trades that Bear made, which were being processed by JPM's clearing. <br /><br />  We are now beginning to get a real sense of the worthlessness of the mortgage portfolios. Not that we got any help from the SEC, which has taken a "we don't care what's in the mortgages as long as you tell us you have mortgages" attitude. That's been worthless for investors, and maybe even for JPMorgan.  <br /><br />  The losses now exceed $400 billion, according to my modeling (if you simply assumed that 50% of the exotic mortgages that were issued from 2005 to 2007 eventually went into default). That's amazing, but it looks like I dramatically underestimated the losses. UNDERESTIMATED!  <br /><br />  The most egregious issuers of these exotic mortgages were Bear, <a href="http://finance.aol.com/quotes/merrill-lynch-and-co-inc/mer/nys">Merrill Lynch</a> (NYSE: <a href="http://finance.aol.com/quotes/merrill-lynch-and-co-inc/mer/nys">MER</a>) (<a target="blank" href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=MER">Cramer's Take</a>) and <a href="http://finance.aol.com/quotes/lehman-brothers-holdings-inc/leh/nys">Lehman Brothers</a> (NYSE: <a href="http://finance.aol.com/quotes/lehman-brothers-holdings-inc/leh/nys">LEH</a>) (<a target="blank" href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=LEH">Cramer's Take</a>). I believe that JPM has taken in a huge number of uninsurable, non-hedgeable mortgage instruments that are a pure write-off. And that means they are probably underwater on everything they took in. <br /><br />  Worse still, judging by the <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">Goldman Sachs</a> call (NYSE: <a href="http://finance.aol.com/quotes/the-goldman-sachs-group-inc/gs/nys">GS</a>) (<a target="blank" href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=GS">Cramer's Take</a>), JPMorgan didn't pick up much from the point of view of clearing and prime brokerage. I am really worried JPM got nothing from this deal. <br /><br /> JPM is adamant that it got a lot out of the deal, which would imply that I am totally wrong. I can't buy that. Sorry. Not after what we have seen from the other companies that have similar vintages. <br /><br /> Second, it's a really bad sign for the next shotgun acquirers. Without insurance from the government for all of these bad portfolios, it simply isn't worth it to call the government and say "I want <a href="http://finance.aol.com/quotes/national-city-corporation/ncc/nys">Nat City</a> (NYSE: <a href="http://finance.aol.com/quotes/national-city-corporation/ncc/nys">NCC</a>) (<a target="blank" href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=NCC">Cramer's Take</a>)," or "I want <a href="http://finance.aol.com/quotes/washington-mutual-incorporated/wm/nys">Washington Mutual</a> (NYSE: <a href="http://finance.aol.com/quotes/washington-mutual-incorporated/wm/nys">WM</a>) (<a target="blank" href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=WM">Cramer's Take</a>)."  <br /><br />    It also makes me think that <a href="http://finance.aol.com/quotes/countrywide-financial-corporation/cfc/nys">Countrywide Financial</a>'s (NYSE: <a href="http://finance.aol.com/quotes/countrywide-financial-corporation/cfc/nys">CFC</a>) (<a target="blank" href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=CFC">Cramer's Take</a>) balance sheet will really impair <a href="http://finance.aol.com/quotes/bank-of-america-corporation/bac/nys">Bank of America</a> (NYSE: <a href="http://finance.aol.com/quotes/bank-of-america-corporation/bac/nys">BAC</a>) (<a target="blank" href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=BAC">Cramer's Take</a>). And I simply don't have any idea how <a href="http://finance.aol.com/quotes/wachovia-corporation/wb/nys">Wachovia</a> (NYSE: <a href="http://finance.aol.com/quotes/wachovia-corporation/wb/nys">WB</a>) (<a target="blank" href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=WB">Cramer's Take</a>) can make it in its current form.  <br /><br />  Everyone is way too bullish on these companies. They should all be sold. Period.<br /><br /> Random musings: It is time to reassess the negative view of gold. The Fed isn't tightening, which is what caused gold to go down. That was a canard. The reversal in these banks is no doubt freaking the Fed out. The idea of raising rates takes away the one reason why you would want to invest in banks: the yield curve allowing the banks to refinance. Well, you weren't alone. Many <a href="http://www.marketwatch.com/news/story/bank-england-signals-worst-credit/story.aspx?guid=%7B0FE859BB-9A81-436F-BBA5-C026931B8682%7D">bank executives</a> thought the same thing, that we've seen the worst of the writedowns banks were taking as a result of the subprime mortgage collapse.<br /><br />So when today <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">Citigroup Inc.</a> (NYSE: <a href="http://finance.aol.com/quotes/citigroup-incorporated/c/nys">C</a>), the bank responsible for <a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aiqAQpkNsoQk&amp;refer=home">10% of the total writedowns</a> due to the subprime and credit crisis, <a href="http://money.aol.com/news/articles/banking/_a/warning-sends-citigroup-shares-down/20080619153109990001">announced</a> it "would suffer more "substantial" write-downs on debt investments in the second quarter," many were taken aback. Sure, the CFO said that sequentially, Citi would write down less than in the first quarter, but he also said the marks are "sizable" and gave the impression they will likely go into the next few quarters. Credit markets remain tight, he said.<br /> <br />Perhaps we've seen the worst, if I insist on being optimistic, but we surely haven't seen the last. Just in the past week we heard from <a href="http://finance.aol.com/quotes/lehman-brothers-holdings-inc/leh/nys">Lehman</a> (NYSE: <a href="http://finance.aol.com/quotes/lehman-brothers-holdings-inc/leh/nys">LEH</a>), <a href="http://finance.aol.com/quotes/american-international-group-inc/aig/nys">AIG</a> (NYSE: <a href="http://finance.aol.com/quotes/american-international-group-inc/aig/nys">AIG</a>), <a href="http://finance.aol.com/quotes/ubs-ag-switzerland/ubs/nys">UBS</a> (NYSE: <a href="http://finance.aol.com/quotes/ubs-ag-switzerland/ubs/nys">UBS</a>) and <a href="http://finance.aol.com/quotes/fifth-third-bancorp/fitb/nas">Fifth Third</a> (NASDAQ: <a href="http://finance.aol.com/quotes/fifth-third-bancorp/fitb/nas">FITB</a>). We heard of writedowns, asset sales and capital raises, none of which gave much confidence about financials and the credit markets, but there was the lingering hope we were seeing the last few hiccups (large as they were). <br /><br />Still, people remained cautious and I didn't hear pounding the table to get into bank stocks, although no one could deny that some financials saw some recovery since mid-March. It was also somewhat puzzling that Citi managed to raise just over a month ago some <a href="http://www.citi.com/citigroup/press/2008/080430a.htm">$4.5 billion from its public offering</a>. Meaning, there were buyers at $25 and change. The stock closed at $20.17 today after dipping to $19.41 earlier in the session.<br /><br />OK, so I know we're supposed to be forward looking when investing, but there are some stocks in some sectors I simply wouldn't touch. Not all of them, of course.
